corporations on market entry, legal structuring, cross-border transactions, and regulatory

navigation across East Africa.

The firm operates at the intersection of law, capital, and strategy, supporting high-value

investments across sectors including energy, mining, infrastructure, real estate, and financialservices.

Role Overview

The Legal Associate will play a central role in supporting the firm’s advisory and legal

functions, with a strong focus on Tanzania (mainland and Zanzibar).

The role combines:

  • Legal advisory
  • Regulatory compliance
  • Corporate and company secretarial work
  • Investment-related legal analysis

The successful candidate will be expected to deliver high-quality, commercially relevant legal

work, while also contributing to the firm’s thought leadership and knowledge base.

This is a high-performance role requiring ownership, reliability, and strong analytical thinking.

Core Responsibilities

1. Legal Advisory & Regulatory Analysis

Conduct legal and regulatory analysis relating to:

  • investment frameworks in Tanzania
  • sector-specific regulations (e.g. mining, energy, real estate, financial services)
  • licensing and compliance requirements
  • foreign investment rules and incentives

Translate legal frameworks into:

  • clear risks
  • compliance requirements
  • practical recommendations

Prepare:

 

  • legal memos
  • regulatory summaries
  • advisory notes

2. Investment & Transaction Support

Support legal aspects of:

  • investment structuring
  • oint ventures
  • mergers and acquisitions (M&A)
  • public-private partnerships (PPPs)

Assist in:

  • identifying legal risks
  • structuring investment vehicles
  • reviewing transaction documentation

3. Drafting & Client Deliverables

Prepare high-quality, client-ready documents including:

  • legal opinions
  • advisory reports
  • due diligence summaries
  • regulatory analyses

Ensure all deliverables are:

  • well-structured
  • clear and concise
  • aligned with commercial realities

4. Company Secretarial & Corporate Compliance

Provide company secretarial support across group companies and clients, including:

  • preparation of board resolutions
  • shareholder resolutions
  • statutory filings and record keeping

Manage corporate compliance requirements, including:

  • business license applications and renewals
  • regulatory filings
  • coordination with relevant authorities (e.g. BRELA, TRA, local councils)

Ensure ongoing compliance with:

  • corporate governance requirements
  • local regulatory obligations

5. Licensing & Regulatory Coordination

Support clients and internal operations with:

  • business license applications and renewals
  • sector-specific licenses and approvals
  • regulatory submissions

Liaise with:

  • government authorities
  • regulators
  • third-party service providers

6. Due Diligence & Risk Assessment

Conduct legal due diligence on:

  • companies
  • projects
  • land and regulatory approvals

Identify:

  • legal risks
  • compliance gaps
  • regulatory exposure

Provide structured summaries and recommendations

7. Thought Leadership & Legal Content Development

Contribute to the firm’s thought leadership by:

  • researching relevant legal and investment topics
  • producing a minimum of 5 written articles per month

Topics will include:

  • investment law in Tanzania
  • regulatory developments
  • business and corporate law issues
  • practical legal insights for investors and businesses

Ensure content is:

  • clear and engaging
  • commercially relevant
  • aligned with the firm’s positioning

8. Internal Knowledge & Systems Development

Support development of:

  • legal templates
  • standard documents
  • internal legal frameworks

Contribute to improving:

  • efficiency of legal workflows
  • consistency of deliverables

Profile

LLB (required)

Must have completed Law School (mandatory)

Minimum 1–2 years’ experience in:

  • corporate/commercial law
  •  
  • legal advisory
